Learning Management System (LMS) Terms & Conditions
These Terms & Conditions apply to all online learning services provided by SBCT Pty Ltd (“Specialist Behaviour”, “we”, “us”, or “the Provider”) through its learning management system (“LMS”).
“You”, “the Customer”, and/or “Authorised User(s)” refers to the individual or organisation purchasing or accessing courses or subscriptions.
Together, Specialist Behaviour and the Customer are referred to as “the Parties”.
By accessing or using the LMS, you agree to these Terms & Conditions.

1. Definitions
- Access Credentials – Login details used to access the LMS.
- Authorised User(s) – Individuals permitted to access courses under a valid purchase or subscription.
- Confidential Information – Non‑public information disclosed between the Parties.
- Content – All online learning materials including videos, documents, templates, quizzes, and certificates.
- Courses – Individual online learning programs hosted within the LMS.
- Fees – Charges payable for courses or subscriptions.
- LMS – The Specialist Behaviour learning platform (including Absorb LMS or successor platforms).
- Provider IP – All intellectual property owned by Specialist Behaviour.
- Services – Online courses, learning paths, and subscription‑based access delivered via the LMS.
- Subscription – Time‑limited access to multiple courses (e.g. All‑Access Pass).
2. Access and Use of the LMS
a) Access Grant
Access to the LMS is granted once payment is received and remains active for the duration of the purchased course or subscription.
Access is limited to the Authorised User(s) only and must not be shared.
b) Permitted Use
Content is provided exclusively for personal or internal professional development.
Content must not be copied, distributed, resold, or used for commercial purposes without written consent.
c) Prohibited Conduct
Users must not:
- Share login credentials
- Attempt to copy, download, record, or reverse‑engineer content or systems
- Remove copyright or branding
- Use the LMS unlawfully or in breach of these Terms
d) Suspension or Termination of Access
We may suspend or revoke access immediately if:
- Fees are unpaid
- Credentials are misused
- These Terms are breached
- Required by law
3. Course Access, Completion, and Availability
a) Single Completion Access
When you purchase an online course—or access it through an All‑Access Pass subscription—you are granted access to complete the course one-time only.
Course access will expire upon completion, as determined by the LMS system (for example, completion of all lessons and quizzes and/or issuance of a certificate of completion).
If you wish to retake a course, it must be repurchased at the then‑current retail price.
No ongoing, repeat, or lifetime access is included unless expressly stated in writing.
b) All‑Access Pass Subscriptions
For learners using an All‑Access Pass, access to all included courses, transcripts, and related materials will automatically end when the subscription period expires.
It is the learner’s responsibility to download and save certificates and resources before the subscription ends.
c) Course Availability
All courses are subject to availability and may be updated, replaced, or removed from the LMS from time to time at Specialist Behaviour’.
Where a course is scheduled for removal, learners will be notified in writing at least fourteen (14) days in advance, providing sufficient time to:
- Access completed course transcripts
- Download certificates
- Save permitted learning resources
Specialist Behaviour is not obligated to maintain indefinite access to any course.
4. Customer Responsibilities
You are responsible for:
- Maintaining the confidentiality of Access Credentials
- Ensuring only Authorised Users access the LMS
- Ensuring learners understand course completion and expiry conditions
- All activity conducted under your LMS account
Personal Health Information (PHI) must not be entered into the LMS.
5. Fees, Payments, and Refunds
a) Fees
“Fees” refer to the amounts payable for accessing online courses, learning paths, or subscription services through the LMS. Fees may be charged as a one‑off payment or as a recurring subscription and must be paid in full in Australian dollars, plus any GST.
b) Payment Terms & Direct Debit Agreement
Where applicable, Fees are subject to and governed by:
- Specialist Behaviour Payment Terms & Conditions, and
- Direct Debit Service Agreement (for subscription‑based services, including the All‑Access Pass)
By completing a purchase, enrolling a learner, or activating a subscription, the Customer confirms that they have read, understood, and agreed to the Payment Terms & Conditions and, where relevant, the Direct Debit Service Agreement.
These documents:
- Must be accepted prior to checkout or subscription activation,
- Are provided to the Customer by email following purchase, and
- Are available within the LMS or upon request.
c) Subscriptions
- All‑Access Pass subscriptions involve a 12‑month minimum commitment unless otherwise stated in writing.
- The first instalment is payable immediately at the time of purchase.
- Subsequent instalments will be processed automatically in accordance with the Direct Debit Service Agreement.
- Cancelling access does not cancel payment obligations for the subscription term.
d) Accepted Payment Methods
We accept:
- Credit and debit cards (Visa, MasterCard, American Express)
- Bank transfer (by prior approval only)
e) Late or Failed Payments
If a payment is declined, overdue, or unpaid:
- LMS access may be suspended until payment is resolved.
- Continued non‑payment may result in referral to a debt recovery agency, for the full balance owing on the minimum 12-month subscription.
- The Customer is responsible for all reasonable recovery and administrative costs incurred.
f) Refunds and Cancellations
- A 5‑business‑day cooling‑off period applies only where no course content has been accessed.
- Once any content is accessed, no refunds are available.
- Subscription cancellations do not negate payment obligations for the agreed minimum subscription term.
6. Intellectual Property
All Content and LMS materials are the exclusive intellectual property of Specialist Behaviour and/or its collaborators.
No rights are transferred to the Customer or users other than a limited licence to access the LMS in accordance with these Terms.
7. Confidentiality
Each Party must keep Confidential Information secure and not disclose it except as required by law or to fulfil these Terms.
Confidentiality obligations survive termination for five (5) years.
8. Limitation of Liability
To the maximum extent permitted by law:
- Specialist Behaviour is not liable for indirect or consequential loss
- Total liability is limited to the amount paid for the relevant Services
Content is educational in nature and does not replace professional, legal, or regulatory advice.
9. Educational Resources and Professional Responsibility Disclaimer
The resources, templates, tools, examples and materials provided through this learning platform are intended for educational and professional development purposes only. They are designed to support pratitioners in their understanding and application of Positive Behaviour Support principals and practices.
Practitioners are soley responsible for excercising their own professional judement when using, adapting or implementing any resource, template, tool, strategy. or recommendation provided within this platform. The suitability, accuracy and application of these meterials must be considered in the context of the individual person, service, setting, organisational requirements, applicable legislation, professional standards and funding body requirements. Completion of training or use of materials from this platform does not replace professional supervision, clinical judgement, organisational policies, regulatory requirements or independant assessment of individual circumstances.
The training provider accepts no liability for the decisions, actions, omissions or outcomes arising from the use, misuse, adaptation or implementation of any resources, templates, tools or information provided through this platform. Users acknowledge that they assume full resposibility for their professional practice and the application of any knowledge, resources or materials obtained through the training.
10. Data Security
We implement reasonable technical and organisational safeguards consistent with applicable Australian privacy laws.
Customers remain responsible for the security of their login credentials and devices.

- Severability: If any clause is unenforceable, the remainder remains effective
